Consent to Terms

By accessing, subscribing to, or otherwise using the Low Clearance Map website (the "Website") and its related services (collectively, the "Service"), a subscription-based software-as-a-service ("SaaS") platform designed to provide route planning assistance for high-profile vehicles such as semi-trucks, recreational vehicles ("RVs"), and similar tall vehicles, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use (these "Terms"). These Terms constitute a legally binding agreement between you (the "User," "you," or "your") and Low Clearance Map LLC (the "Company," "we," "us," or "our"), a Delaware limited liability company with its principal place of business in the State of Delaware.

If you do not agree with any provision of these Terms, you must immediately cease all use of the Service. No oral or written representations or understandings outside of these Terms shall be binding upon the Company. Your continued use of the Service following any modifications to these Terms shall constitute your affirmative acceptance of such changes, as detailed in Article 12 below.

Note on Maps and Data: The maps and data provided through the Service are intended solely for illustrative and graphical purposes and do not constitute a professional survey, engineering assessment, or official navigational certification. While the Company employs reasonable efforts to maintain the accuracy and reliability of such data consistent with prevailing industry standards, the Company disclaims all responsibility for any inaccuracies, omissions, or failures arising from the inherent limitations of available data sources or technological constraints.

Acceptance of Terms and Conditions

1.1 Binding Agreement. These Terms govern your access to, subscription for, and use of the Service, including but not limited to the Website, any associated mobile applications, APIs, and all content, features, and functionalities made available therein (collectively, the "Service Components"). Your subscription to or use of the Service manifests your unqualified acceptance of these Terms, forming a valid and enforceable contract.

1.2 Eligibility. You represent and warrant that you are at least eighteen (18) years of age or the age of majority in your jurisdiction of residence, whichever is greater, and possess the legal capacity to enter into these Terms. If you are accessing the Service on behalf of a business entity, you further represent that you have the authority to bind such entity to these Terms.

1.3 No Guarantee of Fitness. The Service is provided for general informational and planning purposes only and is not intended to serve as a substitute for professional advice, including but not limited to engineering, surveying, or safety consultations. Users must exercise independent judgment in applying any information derived from the Service.

Assumption of Risk and User Responsibility

2.1 Informational Nature of Service. The Service, including all route suggestions, clearance data, and hazard identifications, is provided exclusively for informational and preliminary planning purposes. It does not, and is not intended to, constitute definitive, real-time, or guaranteed navigational guidance.

2.2 User's Independent Evaluation. You acknowledge and agree that it is solely your responsibility to independently verify, evaluate, and validate any routes, clearances, or other information obtained through the Service prior to implementation. This includes, without limitation, cross-referencing with official governmental sources, on-site inspections, and professional consultations as appropriate for your vehicle type and operational context.

2.3 Voluntary Assumption of Risk. By electing to rely upon or act in accordance with any aspect of the Service, you voluntarily assume all risks associated therewith, including but not limited to personal injury, property damage, economic loss, or third-party claims arising from errors, inaccuracies, or incompletenesses in the provided data. The Company shall bear no responsibility for any such outcomes.

Nature and Limitations of Map Data Reliability

3.1 Ongoing Development. The maps and clearance data comprising the Service represent an evolving and iterative dataset, compiled through a combination of manual curation, third-party sources, and user contributions where applicable. Due to the dynamic nature of infrastructure (e.g., temporary roadwork, unverified governmental records lacking precise GPS coordinates, or outdated databases), the data may not reflect the most current conditions in every instance.

3.2 Commitment to Accuracy. The Company is committed to enhancing the precision and comprehensiveness of the Service, striving to achieve reliability comparable to or exceeding that of peer navigational tools. However, no representation is made that the data is infallible or exhaustive. You are encouraged to exercise your own due diligence in assessing the suitability of the provided information for your specific needs.

3.3 Recommended Usage Practices. To promote safe and effective utilization, the Service should always be employed in tandem with supplementary resources, including but not limited to your personal observations, official regulatory publications (e.g., from the U.S. Department of Transportation, Transport Canada, or UK Highways Agency), and prudent judgment. This integrated approach ensures a layered verification process tailored to real-world variability.

Prohibition on Sole Reliance

4.1 Supplementary Tool Only. You agree not to designate the Service as your exclusive or primary resource for route planning, hazard avoidance, or navigational decisions. In scenarios involving uncertainty regarding potential hazards—such as low-clearance structures, weight restrictions, or environmental factors—it is imperative to consult ancillary materials, including alternative mapping services, physical guides, or expert advisories.

4.2 Risk Mitigation. Failure to incorporate multiple data sources may increase exposure to unforeseen risks, for which the Company disclaims any liability. Users are urged to adopt a conservative approach, prioritizing safety over expediency.

Guidelines for Safe and Responsible Use

5.1 Operational Precautions. When engaging with the Service, particularly during vehicle operation, you must refrain from activities that could divert attention or compromise safety, such as manipulating GPS devices or reviewing maps without adequate proficiency or environmental awareness.

5.2 Preparation and Awareness. Prior to any journey informed by the Service, ensure you possess all requisite equipment, training certifications, and contingency plans. Remain vigilant of inherent risks associated with high-profile vehicle travel, including but not limited to structural failures, adverse weather, or traffic incidents. As reiterated throughout these Terms, the Company assumes no accountability for outcomes stemming from non-compliance with these guidelines.

Subscription and Payment Terms

6.1 Subscription Plans. The Service is accessible via a recurring subscription model, priced at Four Dollars and Ninety-Nine Cents (US $4.99) per month or Forty-Four Dollars (US $44.00) per annum (the "Subscription Fees"), exclusive of applicable taxes, duties, or surcharges. Subscriptions auto-renew at the conclusion of each billing cycle unless timely canceled.

6.2 Authorization and Billing. By furnishing payment details, you irrevocably authorize the Company (or its designated third-party processors) to charge the designated method for all Subscription Fees, taxes, and related charges. Cancellation is permitted at any time via the Service's account settings portal, effective at the expiration of the current term; prorated refunds are unavailable absent legal mandate.

6.3 Non-Refundability. All Subscription Fees are non-refundable, except where prohibited by applicable consumer protection laws. Trial periods, if offered, are subject to these Terms.

6.4 Account Security and Sharing Restrictions. Each subscription is licensed for use by a single individual only. You are prohibited from sharing your account credentials (username, password, or access tokens) with any third party. Account sharing, including but not limited to simultaneous access from multiple locations or devices by different users, is strictly prohibited. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. The Company reserves the right to monitor for unusual access patterns and may suspend or terminate accounts suspected of password sharing without refund. If you suspect unauthorized use of your account, you must notify the Company immediately at info@lowclearancemap.com.

Disclaimer of Warranties

7.1 As-Is Provision. To the maximum extent permissible under applicable law, the Service is tendered "AS IS" and "AS AVAILABLE," devoid of any warranties, whether express, implied, statutory, or otherwise. This disclaimer encompasses, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, quiet enjoyment, or correspondence to any description or sample.

7.2 No Performance Assurances. The Company does not warrant that the Service will operate without interruption, defects, delays, or errors; that data will be secure against unauthorized access; or that the Service will fulfill your specific requirements or expectations. Any reliance on the Service is at your sole peril.

Limitation of Liability

8.1 Exclusion of Consequential Damages. In no event shall the Company, its affiliates, officers, directors, employees, agents, successors, or assigns (collectively, "Company Parties") be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including but not limited to lost profits, revenues, data, goodwill, business opportunities, or anticipated savings, arising from or relating to your use of (or inability to use) the Service, even if advised of the possibility thereof.

8.2 Liability Cap. The aggregate liability of the Company Parties under or in connection with these Terms, in tort (including negligence), contract, strict liability, or otherwise, shall not exceed the total Subscription Fees paid by you to the Company in the six (6) months immediately preceding the claim's accrual (or One Hundred United States Dollars [US $100.00] if no fees were paid). This cap applies per claim or series of related claims.

8.3 Jurisdictional Variations. Certain jurisdictions may not permit the exclusion or limitation of certain damages; in such cases, the foregoing limitations shall apply to the fullest extent allowable by law.

Indemnification

9.1 User Obligations. You covenant to defend, indemnify, and hold harmless the Company Parties from and against any and all claims, actions, suits, demands, damages, liabilities, obligations, losses, settlements, judgments, costs, and expenses (including reasonable attorneys' fees and disbursements) arising out of or relating to: (i) your use or misuse of the Service; (ii) your breach or alleged breach of these Terms; (iii) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; or (iv) any negligent, reckless, or willful misconduct attributable to you.

9.2 Control of Defense. The Company reserves the right, at its option and expense, to assume exclusive control of the defense and settlement of any indemnified matter, in which event you shall fully cooperate with the Company.

Prohibited Conduct

10.1 Automated Access Restrictions. Without the Company's prior express written authorization, you shall not employ any robot, spider, scraper, data extraction tool, or other automated mechanism to access, monitor, copy, or aggregate data from the Service.

10.2 Reverse Engineering Ban. You are prohibited from reverse-engineering, decompiling, disassembling, or otherwise deriving the source code, algorithms, data structures, or underlying architecture of the Service.

10.3 Interference Prohibitions. You may not frame, mirror, deep-link, or replicate any portion of the Service; circumvent usage quotas, security measures, or access controls; or engage in any conduct that disrupts, impairs, or overburden the Service's performance or integrity, including denial-of-service attacks or unauthorized modifications. Violations may result in immediate termination and legal recourse.

Governing Law, Jurisdiction, and Dispute Resolution

11.1 Choice of Law. These Terms and all disputes arising hereunder shall be governed by and construed in accordance with the internal laws of the State of Delaware, United States of America, excluding its conflicts of laws principles.

11.2 Forum Selection. You irrevocably submit to the exclusive personal jurisdiction and venue of the state and federal courts situated in New Castle County, Delaware, for the adjudication of any disputes related to these Terms or the Service. This consent waives any objections based on forum non conveniens or inconvenient forum.

11.3 Waiver of Jury Trial. To the extent permitted by law, each party waives any right to a trial by jury in connection with any action or proceeding under these Terms.

Amendments, Suspension, and Termination

12.1 Right to Modify. The Company reserves the unilateral right to amend, suspend, or terminate the Service (or any Service Components) and/or these Terms at any time, with or without prior notice, for any reason including operational, legal, or business exigencies. Amendments to these Terms shall be effective immediately upon posting on the Website.

12.2 Continued Use as Acceptance. Your continued access to or use of the Service post-amendment constitutes your binding acceptance thereof. It is your responsibility to review these Terms periodically.

12.3 Termination Rights. The Company may suspend or terminate your account and access to the Service forthwith, without liability, for any violation of these Terms, suspected fraud, or at its sole discretion. Upon termination, all accrued obligations survive.

Billing Disputes, Chargebacks, and Recovery

13.1 Responsibility for Charges. Notwithstanding any suspension, reversal, chargeback, or cancellation of a payment—whether initiated by you, your financial institution, card issuer, or processor—you remain fully liable for the transaction amount, plus any associated fees, penalties, or costs.

13.2 Recovery Mechanisms. You hereby authorize the Company to recoup any delinquent amounts by: (a) re-charging any on-file payment method; (b) deducting from credits or refunds due to you; or (c) issuing a demand for immediate payment. The Company may suspend Service access until resolution.

13.3 Chargeback Disputes. Unauthorized chargebacks for valid charges (bypassing the cancellation process) may be contested by the Company, incurring a fee equivalent to direct costs plus reasonable administrative charges. This Article survives termination.

Severability and Waiver

14.1 Severability. Should any provision of these Terms be deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The parties intend that the invalid provision be reformed to the minimum extent necessary to render it enforceable.

14.2 No Waiver. No failure or delay by the Company in exercising any right hereunder shall constitute a waiver thereof, nor shall any single or partial exercise preclude further enforcement.

Intellectual Property Rights

15.1 Ownership. All content on the Website and within the Service, including text, graphics, logos, maps, data compilations, software, and user interfaces (collectively, "Content"), is the exclusive property of the Company or its licensors and protected under United States copyright laws (17 U.S.C. § 101 et seq.), international treaties, and other intellectual property regimes.

15.2 Limited License. Subject to these Terms, the Company grants you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use the Service for personal, non-commercial purposes. This license does not extend to Content extraction, modification, or redistribution.

15.3 Restrictions. You shall not copy, reproduce, distribute, publicly display, perform, adapt, create derivative works from, transmit, or exploit the Content in any manner without the Company's prior written consent.
